The purpose of a SCoC is to ensure that all parties in the supply chain adhere to consistent and acceptable practices that align with Hive-Zox’s values and policies.

By establishing a Supplier Code of Conduct, we promote responsible business practices throughout the supply chain, mitigate risks, and preserve the company’s reputation.

Hive-Zox’s Supplier Code of Conduct

1. Purpose

This Code of Conduct has been developed to guide our suppliers in upholding human rights, ensuring fair employment practices, maintaining safe working conditions, managing environmental responsibilities, and adhering to high ethical standards.

In addition to compliance with all relevant laws, regulations, and standards in all the countries in which we operate, Hive-Zox suppliers should comply with the Supplier Code of Conduct even if it stipulates a higher standard than required by national laws or regulations.

Hive-Zox requires suppliers and their subcontractors to comply with the Code of Conduct, or similar standards, and to verify compliance by providing information and allowing access to their premises. Hive-Zox is committed to engaging its suppliers to ensure continuous and measurable improvements over time.

2. Scope

This Code applies to all suppliers, contractors, consultants, and any other entities (collectively, “Suppliers”) that provide goods or services to Hive-Zox. Suppliers are expected to adhere to the principles set forth in this Code and ensure that their subcontractors and partners do the same.

3. Compliance with Laws and Regulations

Suppliers must comply with all applicable laws, regulations, and standards in the countries where they operate. This includes, but is not limited to, laws and regulations related to labour, health and safety, the environment, and anti-corruption.

4. Environmental Responsibility

Hive-Zox is dedicated to minimizing its environmental impact, and we expect our Suppliers to do the same.

Suppliers are expected to operate in an environmentally responsible manner by:

– Preventing pollution and managing waste responsibly.

– Using resources efficiently and adopting best available technologies.

– Reducing greenhouse gas emissions and promoting renewable energy sources.

– Complying with all applicable environmental laws and regulations.

5. Social Responsibility

Suppliers must respect the human rights of their employees and the communities in which they operate.

This includes:

• Providing a safe and healthy work environment.

• Ensuring no use of forced, bonded, or child labour.

• Respecting the rights of employees to freely associate and bargain collectively.

• Promoting diversity and inclusion within the workforce, ensuring equal opportunities for all employees, regardless of gender, race, ethnicity, religion, disability, or other characteristics.

• Engaging with and contributing positively to local communities.

6. Health and Safety

Suppliers must ensure the health and safety of their employees by adhering to stringent safety standards, providing regular training, and maintaining a safe work environment. Suppliers are expected to proactively identify and mitigate potential hazards.

7. Business Ethics and Governance

No form of extortion and bribery, including improper offers for payments to or from individuals performing work for Hive-Zox, or organizations, shall be tolerated.

8. Supplier Supplement

Suppliers must conduct their business with the highest standards of integrity and transparency.

This includes:

• Adhering to legal and regulatory requirements.

• Preventing corruption, bribery, and conflicts of interest.

• Ensuring accurate and timely reporting and communication.

• Protecting confidential information and intellectual property.

• Promoting fair competition and avoiding anti-competitive practices.

• Complying with all relevant data protection and privacy laws.

9. Monitoring and Compliance

Hive-Zox reserves the right to monitor compliance with this Code. Suppliers are expected to cooperate with any assessments or audits conducted by Hive-Zox or its designated third parties. Suppliers must promptly address any non-compliance issues identified and take corrective actions as necessary.

10. Conclusion

Hive-Zox values the relationships with its Suppliers and believes that by working together, we can achieve sustainable and ethical business practices.

We expect all Suppliers to uphold the principles outlined in this Code and to continuously strive for improvement. Failure to comply with this Code may result in the termination of the business relationship.
